Why can't I sync my music to my new iPhone?

I just got a ne3 iphone 5s, i have a bunch of downloaded music on my itunes. when my phone isnt plugged into the computer all the songs are there when i plug my phone into the computer the downloaded songs have a circle with a ! inside it and wont sync to my new phone. i updated both phone and itunes.. no idea what this means

1. Is your computer a Mac or a Windows PC?
2. Have you tried manually syncing the music to your new phone?
3. Are you logged in to the iTunes & App Store on your device with the same Apple ID that you're logged into via your computer?

The ! is next to the songs in iTunes on your computer? If that's the case, iTunes doesn't know where those files are in your computer. You need to point iTunes back to your music folder.
