Older iOS devices can only be upgraded to a certain iOS version. The first iPad can only be upgraded to 5.1.1 that is as far as it goes. How are you trying to upgrade? Just hook up to iTunes and hit upgrade it should detect and upgrade to the latest version supported by your device. If that doesn't work look at my signature and follow the link.
