iPhone 5 as an iPod

Upgraded my iP5 to iP5s. Instead of selling/trading it in I decided to keep it for my 8 yr old daughter for her to use as an iPod for her games. I would like to reset and erase everything and start from scratch, would I have issues like iTunes asking for activation ? since it's still technically a phone. please enlighten me. thanks
