Transferring data from old to new ipad

New ipad already set up and has stuff on it. Do I have to reset to factory before transferring from old ipad. How do I do that?

Yes. If you have an iTunes backup to restore, simply connect the iPad to your computer and then select restore via the iTunes app on that computer. If you have an iCloud backup to restore, go to Settings→ General→ Reset, and then select "Erase All Contents and Settings". Afterwards, select to restore from iCloud when prompted.
