why does my brand new iphone 6 need a software update

I have backed up my iphone 4s and want to transfer the backup to my iphone 6. But, I get the message that iphone needs software update

Hi and welcome to iMore.

Because your iPhone would have been updated to be most current version available at the time it was boxed, and it could have spent several weeks/months in transit, storage or sitting on a shelf awaiting purchase, it will not have the most recent iOS update as in order for Apple to do that, they would have to unwrap and manually update each iPhone.
